The Company
Our client is a rapidly growing B2B demand generation and competitive intelligence company specializing in competitor intent data and high-quality lead generation for enterprise demand gen teams.

Role Overview:
As in-house Legal Counsel to join as their first in-house legal hire. This position will focus on commercial contracting, data privacy, and risk management, playing a key role in enabling the company’s growth while ensuring a solid compliance framework.

Key Responsibilities:

- Commercial Contracts: ○ Draft, review, and negotiate MSAs, SOWs, NDAs, DPAs, vendor agreements, and sub-processor contracts. ○ Standardize contract templates and fallback positions to streamline deal cycles. ○ Ensure agreements align with Promowise’s service model and data handling standards.

- Data Privacy & Compliance: ○ Maintain compliance with GDPR, UK GDPR, CCPA/CPRA, and CASL by developing and updating DPAs, privacy templates, and sub-processor lists. ○ Manage cross-border data transfer frameworks and support client/vendor compliance reviews. ○ Assist in creating internal checklists, privacy notices, and lightweight policies.

- Risk & Governance: ○ Identify and escalate legal risks related to contracts, marketing law, data privacy, and global operations. ○ Support corporate governance, insurance compliance, and client-driven legal requirements. ○ Manage relationships with external counsel for high-risk matters while handling the majority of day-to-day legal needs internally.

- Operational Enablement: ○ Collaborate with sales and operations teams to ensure efficient contract turnaround. ○ Maintain a central contract repository and monitor key obligations, renewals, and compliance milestones. ○ Train internal teams on contract playbooks and compliance protocols.

Qualifications:

- LL.B./J.D. (or international equivalent); licensed in Canada, the U.S., or another common law jurisdiction.
- 2–5 years post-call legal experience, preferably in-house or at a law firm.
- Experience with commercial contracts, data privacy, and technology or marketing law.
- Strong drafting, negotiation, and attention to detail.
- Ability to work independently in a fast-paced, lean environment.
- Business-focused mindset with a pragmatic approach to legal risk.
